These Terms & Conditions (“Terms”) form an agreement between you and TechShield Technologies (“TechShield”, “we”, “us”, or “our”) for your use of ProShield’s website, web application, mobile applications, personal vault, and business workspace features (the “Services”).

Please read these Terms carefully

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use ProShield. Export or remove your information securely where appropriate.

1. Eligibility and authority

You must have the legal capacity to enter this agreement. If you use ProShield for an organization, you confirm that you are authorized to accept these Terms for that organization, and “you” includes that organization. The Services are not directed to children.

2. What ProShield provides

ProShield is software for organizing and protecting information in personal and business workspaces. Features may include local encrypted storage, credentials, documents, financial records, invoices, reminders, exports, sharing, Google sign-in, Google Drive backup or synchronization, and business collaboration.

Features differ by platform, version, device capability, region, permissions, and third-party availability. Marketing descriptions are informational and do not create a warranty that every feature is available in every environment.

3. Limited licence

Subject to these Terms and applicable app-store rules, TechShield grants you a limited, non-exclusive, non-transferable, revocable licence to use the Services for lawful personal or internal business purposes. TechShield and its licensors retain all rights in the software, branding, designs, documentation, and Services not expressly granted to you.

You must not reverse engineer the Services except where law expressly permits it; bypass security or access controls; introduce malware; interfere with the Services; impersonate another person; infringe intellectual-property or privacy rights; or use ProShield to store, process, or share information you have no lawful right to possess or use.

4. Your security and recovery responsibilities

You are responsible for creating a strong, unique master password; protecting your Emergency Kit and recovery information; securing devices and connected accounts; installing appropriate updates; maintaining accessible backups; checking backup status; and reviewing permissions and recipients.

TechShield does not receive the master password as part of normal vault operation and is generally unable to reset it, decrypt your vault, or recover inaccessible content. Loss of credentials, recovery information, device access, or usable backups may permanently prevent access. Never send vault secrets to support.

5. Business workspaces

A business workspace is separate from the user’s personal vault and is intended for records selected for organizational use. Workspace owners and authorized administrators are responsible for membership, roles, Drive configuration, permission reviews, lawful instructions, and removal of access when a member’s role changes.

Members must use business records only as authorized by their organization and applicable law. Workspace owners are responsible for obtaining required notices, consents, and authority for personal data placed in the workspace. Removing a member may prevent future access but cannot recall information the member already lawfully exported, downloaded, printed, or copied.

Organizations should maintain their own continuity, retention, offboarding, and backup procedures. ProShield is not a substitute for professional records-management, accounting, tax, employment, or regulatory advice.

6. Google and other third-party services

Optional features may depend on Google OAuth, Google Drive, app stores, operating systems, Have I Been Pwned, browsers, hosting providers, or other services. Your use of those services is also governed by their terms and privacy policies. TechShield does not control and is not responsible for their availability, security, changes, suspension, data retention, or account decisions.

7. Content, sharing, and exports

You retain your rights in information you place in ProShield. You grant TechShield only the rights reasonably necessary to provide features you request; this does not give TechShield the technical ability to decrypt user-controlled content it cannot otherwise access.

You are responsible for the accuracy, legality, and integrity of your content and for every export, copy, print, screenshot, or share action you initiate. Once information leaves the encrypted vault, its protection depends on the destination and recipient. Review attachments, recipients, workspace membership, and generated documents before sharing.

8. Purchases and subscriptions

If paid products or subscriptions are offered, the price, billing period, renewal terms, taxes, and included features shown at purchase apply. Purchases made through an app store are billed, renewed, cancelled, and refunded under that store’s rules and mandatory consumer law. Unless required by law, deleting the app or local vault does not itself cancel an external subscription.

9. Updates, changes, and availability

We may update, add, limit, suspend, or discontinue features to improve security, comply with law, respond to third-party changes, or operate the Services. We will provide notice where reasonably practicable or legally required. You are responsible for exporting and backing up information needed for continuity.

The Services are provided on an “as available” basis. No application, device, cloud provider, or storage system can guarantee uninterrupted availability, flawless operation, or absolute security.

10. Suspension and termination

You may stop using ProShield at any time. We may restrict access to TechShield-operated services if you materially breach these Terms, create security or legal risk, or where required by law. Because much of ProShield operates locally or through your selected provider, uninstalling the application may not remove external backups or previously shared copies.

Provisions that by their nature should survive termination—including ownership, responsibility for content and backups, disclaimers, limitations, disputes, and governing law—will continue to apply.

11. Disclaimers

To the fullest extent permitted by law, the Services are provided without warranties of uninterrupted operation, error-free performance, fitness for a particular purpose, or guaranteed recovery. ProShield does not provide legal, tax, accounting, financial, cybersecurity, or records-retention advice. You should obtain professional advice for regulated or high-risk uses.

Nothing in these Terms excludes a warranty, remedy, or right that cannot lawfully be excluded.

12. Limitation of liability

To the fullest extent permitted by applicable law, TechShield Technologies and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss; lost profits, revenue, opportunity, goodwill, or business interruption; or loss, corruption, disclosure, or inability to recover data arising from device failure, forgotten credentials, unavailable or unverified backups, third-party services, workspace administration, or sharing decisions.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability arising from fraud or other liability that the law requires to remain unrestricted. Any limitation will apply only to the maximum extent legally permitted.

13. Organizational responsibility

If you use the Services for an organization, then to the extent permitted by law, the organization is responsible for claims arising from its unlawful content, workspace administration, instructions to members, or violation of another person’s rights. This section does not apply where prohibited by mandatory law.

14. Changes to these Terms

We may revise these Terms to reflect changes in the Services, security, providers, or law. The date above identifies the current version. If a change is material, we may provide additional notice where appropriate. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.

15. Governing law and disputes

These Terms are governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Ajman, without prejudice to mandatory consumer or data-protection rights that apply to you. Subject to any mandatory right to bring a claim elsewhere, the courts with jurisdiction in Ajman, United Arab Emirates will have jurisdiction over disputes.

Before filing a claim, you and TechShield agree to make a reasonable good-faith effort to resolve the matter by contacting the other party and allowing a reasonable period for response.

16. General terms

If a provision is found unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent; we may transfer it as part of a restructuring or transfer of the Services, subject to applicable law. These Terms and the Privacy Policy constitute the agreement concerning the Services unless separate written terms expressly apply.
